Terms of Use Agreement

This web based application is provided for the use of Simply Retail’s hospital and healthcare related clients.  The purpose of this system is to provide information on selected vendors which we believe are appropriate and desirable for hospital and healthcare based retail.  All users of this site hereby expressly agree to the terms of this agreement.

Users agree that the data on this site is copyrighted property of Simply Retail and may not be downloaded, printed, copied or otherwise taken for anything other than personal use in the user’s role as a buyer of products for retail.  At anytime, at its sole discretion Simply Retail may cancel any or all users’ right to use this data.  In the case of such cancellation user hereby agrees to return to Simply Retail promptly, and in any event immediately upon demand, all confidential information furnished to it in written, printed or other tangible form

Simply Retail hereby discloses, and user acknowledges, that Simply Retail may receive compensation from some or all of the vendors listed on this site.

User agrees to indemnify Simply Retail and its affiliates and all persons employed by or associated with Simply Retail or its affiliates against all claims, liabilities and related expenses, as incurred, arising out of this Agreement, unless, upon final adjudication, such claims, liabilities and expenses are found to have resulted primarily from Simply Retail’s bad faith, willful misconduct or negligence.  User hereby acknowledges that Simply Retail makes no warranty regarding the performance of any vendors listed on this site, nor the products that they sell.

This Agreement is the sole and entire Agreement between the parties relating to the subject matter hereof, and supersedes all prior understandings, agreements, and documentation relating to the representatives of both parties.  This Agreement may be modified only by a subsequent written agreement or amendment hereto signed by both parties.

This Agreement shall be interpreted in accordance with the substantive law of the state of Minnesota.

Simply Retail’s Privacy Policy

Simply Retail, Inc.'s (SRI) policy is to respect and protect the privacy of every user of our Web sites. This policy statement tells you how we collect information from you and how we use it. Using the Internet should be a fun experience and we want to help you make it so. The following information is being provided to you about SRI's information gathering practices for our Web sites (at "simplyretailinc.com") and how that information may be used or disseminated by SRI.

User Contact Information

SRI's Web sites may use registration forms, subscription agreements, surveys, contests and other information gathering forms that request users of the Web sites to provide information about themselves such as their name, e-mail address, mailing address, telephone number and demographic information. When a user subscribes to a service offered by SRI, we use contact information to provide the subscriber with the information that is part of the subscribed for service. We may also use such contact information to send the user information about our company, to send promotional material from some of our partners, to contact the visitor when necessary, and to share with our close business partners and other companies. Users may opt-out of receiving future mailings separate from the provision of any service by SRI; see the choice/opt-out section below. Demographic and profile data is also collected at our sites. We use this data to tailor the visitor's experience at our sites, showing them content that we think they might be interested in, and displaying the content according to their preferences.

SRI may disclose user information in special cases when we have reason to believe that disclosing this information is necessary to identify, contact or bring legal action against someone who may be causing injury to or interference with (either intentionally or unintentionally) SRI's rights or property or other users of our Web sites, or anyone else that could be harmed by such activities. SRI may disclose user information when we believe in good faith that the law requires the disclosure.

Your IP Address

An IP address is a number that is automatically assigned to your computer whenever you are surfing the Web. Web servers-the big computers that "serve up" Web pages-automatically identify your computer by its IP address.

Our Web sites collect IP addresses for the purposes of system administration, to report aggregate information to our advertisers, and to audit the use of our sites. When guests request pages from SRI's sites, our servers log the guests' IP addresses. We do not normally link IP addresses to anything personally identifiable, which means that a user's session will be logged, but the user remains anonymous to us. We can and will use IP addresses to identify a user when we feel it is necessary to enforce compliance with our terms of use of the Web sites or to protect our service, sites, customers or others.

Use of Cookies

What are cookies? Cookies are pieces of information that a Web site transfers to a user's hard drive for record-keeping purposes. Cookies make Web-surfing easier for you by saving your preferences while you are at our sites. The use of cookies is an industry standard-you will find them at most major Web sites.

By showing how and when guests use a site, cookies help us see which areas are popular and which are not. Links to Other Sites

SRI's Web sites contain links to other Web sites that are not owned or controlled by SRI. SRI is not responsible for the privacy practices or content of these other Web sites. The Web sites of these other companies may have their own privacy policies that differ from SRI's policy. You should look for the privacy policy of any linked site.

Choice/Opt-Out and Correction/Update of Data

To keep you in control of your personal information and the communications directed to you, you may opt-out of receiving communications that are separate from any services to which you subscribe; for example, separate notices regarding new features or services, and separate notices from other companies that offer a product or service that we think would be of value to you. If you object to any such use for any reason, you may stop that use either by sending an e-mail request to simply.products@simplyretailinc.com.

You can correct factual errors in your personally identifiable information by sending a request that credibly shows error to simply.products@simplyretailinc.com.  Please understand that in order to protect your privacy and security, we may also need to take reasonable steps to verify your identity before granting access or making corrections.

Data Security

To prevent unauthorized access, maintain data accuracy, and ensure the correct use of information, we have put in place appropriate physical, electronic, and managerial procedures to safeguard and secure the information we collect online.

Enforcement and Redress

If for some reason you believe that SRI has not adhered to its privacy policy, please notify us by either of the methods set forth above. SRI will do its best to respond to your concerns and, when appropriate, take steps to correct a problem.

Your Acceptance of These Terms

By using our Web sites, you signify your assent to the SRI Privacy Policy. If you do not agree to this policy, please do not use our sites. Your continued use of SRI's Web sites following the posting of changes to these terms will mean you accept those changes.
